Terms of Service

1. Acceptance of Terms

By accessing or using PriceGuru ("the Service"), operated at priceguru.club, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

PriceGuru is a sales intelligence platform for benefits consultants and TPAs. It provides employer dossiers, hospital rate comparisons, value-based facility rankings, and related analytics tools using publicly available data.

3. Eligibility

The Service is intended for business use by licensed benefits consultants, brokers, TPAs, and their authorized representatives. You must be at least 18 years old and authorized to bind your organization to these terms.

4. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities under your account.
• You agree to provide accurate and complete registration information.
• You must notify us immediately of any unauthorized use.

5. Acceptable Use

You agree NOT to:

• Use the Service to violate any law or regulation
• Scrape, crawl, or systematically download data from the platform
• Reverse engineer, decompile, or attempt to extract source code
• Resell, redistribute, or sublicense access to the Service or its data
• Use the Service to harm, deceive, or mislead plan participants or employers
• Attempt to circumvent access controls or security measures
• Interfere with or disrupt the integrity or performance of the Service

6. Data & Accuracy

PriceGuru aggregates publicly available data from government sources (CMS, DOL, NPPES) and hospital pricing files. While we strive for accuracy:

• Data is provided "as-is" and may contain errors or lag behind source updates.
• Hospital rates reflect filed prices and may not match actual negotiated rates.
• The Service does not constitute legal, financial, or medical advice.
• You are responsible for verifying data accuracy for your use case.

7. Intellectual Property

The Service, including its design, code, analytics, scoring methodologies, and curated datasets, is owned by us and protected by applicable intellectual property laws. Public source data remains in the public domain. Our value-add analysis, rankings, and presentation are proprietary.

8. Payment & Subscription

Pricing and subscription terms will be communicated upon account activation. During the waitlist/beta period, access may be provided at no charge. We reserve the right to modify pricing with 30 days notice to active subscribers.

9. Termination

We may suspend or terminate your access at any time for violation of these terms or for any reason with reasonable notice. You may cancel your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Our total liability for any claim arising from these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PriceGuru and its operators from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

12. Governing Law

These terms are governed by the laws of the State of Alaska, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Alaska.

13. Changes to Terms

We may modify these terms at any time. Material changes will be communicated to registered users via email at least 14 days before taking effect. Continued use after changes constitutes acceptance.
